TeamUp API Terms of Use

Please read these terms of use carefully before using any application programming interfaces offered by TeamUp, Inc. (“TeamUp”).

By accessing or using any application programming interfaces offered by TeamUp (collectively, the "API" or "TeamUp API"), you and, if applicable, the company you represent (collectively, "you" or "your") agree to be bound by these API Terms of Use (the "Agreement"). This Agreement is a legal contract between you and TeamUp. If you do not have the authority to enter this Agreement, or if you do not agree with the Agreement, you may not access or use the API.

TeamUp may revise and update this Agreement at any time in its sole discretion. All changes are effective immediately upon posting and apply to all access to and use of the API thereafter. Continued use of the API following the posting of a revised Agreement constitutes your acceptance of those changes. You are expected to check this page periodically to stay informed.


1. Definitions

"Application" means any application that you develop using the TeamUp API to use, search, display, upload, and/or modify the TeamUp Content.

"TeamUp Content" means all content, data, and other information made available on the TeamUp websites or software and any consumer-facing downloadable mobile app made available by TeamUp.

"TeamUp Data" means any data or information TeamUp obtains or accesses from its customers and/or end users, including any Personal Data.

"Personal Data" means any personal data or personal information (or analogous term) as defined under applicable privacy and data protection laws.

"Service" means the TeamUp services, including, but not limited to, online business management software services designed specifically for businesses in the fitness and wellness industry, made available through TeamUp platforms.

"Subscriber" is defined in the TeamUp Privacy Policy.


2. License

Subject to the terms and conditions of this Agreement, TeamUp grants you a revocable, limited, non-exclusive, non-sublicensable, non-transferable license to access and use the API solely for the purpose of developing, testing, displaying, and distributing your Application. TeamUp may revoke this license at any time for any reason.


3. Modifications

TeamUp reserves the right to modify the Service or the API (or any part thereof) at any time in its sole discretion. Upon release of any new versions of the API, TeamUp reserves the right to require you to obtain and use the most recent version of the API.


4. Support

TeamUp may, but is not obligated to, provide basic technical support via web forums, FAQs, or other documentation.


5. Application Guidelines

You may develop, display or distribute Applications that interact with the API. You are solely responsible for any Application that you develop.


6. API Call Limitations

TeamUp may limit the number of API calls during any period. If you exceed limits, TeamUp may charge fees or terminate access.


7. Ownership

TeamUp retains sole and exclusive ownership of the Service, the TeamUp Content, including TeamUp’s trademarks and logos, and the API, including all related intellectual property rights.


8. API Restrictions

You agree not to misuse the API. This includes but is not limited to:

  • Disparaging TeamUp;
  • Circumventing security measures;
  • Sharing access with competitors;
  • Using data for unauthorized purposes;
  • Exceeding reasonable API call limits;
  • Creating or publishing metrics about the API.

9. Service Providers

You may work with third parties to facilitate your use of the API but remain fully responsible for their compliance with this Agreement.


10. Right to Terminate

TeamUp may terminate or suspend your access to the API at any time. You may also terminate by providing 90 days’ notice and ceasing all use.


11. Third Party Services

Use of third party services is at your own risk. TeamUp is not liable for these services.


12. Disclaimer of Any Warranty

The API is provided "as is." TeamUp disclaims all warranties, including merchantability, fitness, and non-infringement.


13. Limitation of Liability

TeamUp is not liable for indirect, incidental, or consequential damages arising from use of the API.


14. Release and Waiver

You release TeamUp from all claims and damages related to API use. California residents waive rights under Civil Code Section 1542.


15. Indemnification

You agree to indemnify and hold harmless TeamUp from any claims arising from your use of the API.


16. Confidential Information

You must not use or disclose any Confidential Information provided by TeamUp, including Subscriber data, outside the scope of this Agreement.


17. Publicity

You may promote your Application truthfully but may not issue press releases or imply endorsement by TeamUp without written consent.


18. Privacy Policy

By using the API, you agree to the TeamUp Privacy Policy. You are responsible for legal compliance when handling Personal Data.


19. Onward Transfer of Personal Data

You must comply with data protection standards and any applicable Standard Contractual Clauses when transferring Personal Data.


20. Records and Audit Rights

TeamUp reserves the right to audit your compliance with this Agreement.


21. General Terms

  • Relationship: No agency or employment relationship is created.
  • Non-Solicitation: You may not solicit TeamUp employees for hire.
  • Severability: Unenforceable provisions will be modified to fulfill intent.
  • No Waiver: TeamUp’s failure to enforce any right does not waive it.
  • Entire Agreement: This is the complete agreement regarding API use.
